Acceptance of Terms of Use

If you do not agree to these Terms of Use, you are not permitted to use the Website. Innovation Building Group can change these Terms of Use at any time without any notice to you. It is your responsibility to review these Terms of Use, as it creates a binding legal agreement between you and Innovation Building Group. If you use the Website after we have changed any of the Terms of Use, you are agreeing to all of the changes. To the extent that you or your employer (to the extent you are using the Website in your capacity as an agent of your employer) has entered into another written agreement with Innovation Building Group that contains terms that directly conflict with any terms of these Terms of Use, then the conflicted terms set forth in such other agreement will control.

Eligibility

Any access or use of the Website by anyone under the age of 18 is prohibited. By agreeing to these Terms of Use, you represent and warrant that you are 18 years of age or older and have the legal capacity to enter into and abide by these Terms of Use.

Privacy

Any personal information submitted in connection with your use of the Website is subject to our privacy policy found at https://innovationbuilding.com/privacy-policy/  (the “Privacy Policy”), which is hereby incorporated by this reference. We will use information about you that we obtain either directly from you or that we obtain through your use of the Website in accordance with our Privacy Policy solely for the purpose of providing and enhancing the Website.

Account and Security

You may need to set up an account in order to use some of the features of the Website. During the account setup process, it is important that you provide accurate and complete information. This means that you cannot set up an account using a name or contact information that does not apply to you, and you must provide accurate and current information on all registration forms that are part of the Website. By accessing any account associated with the Website, you confirm that you have received authorization from Innovation Building Group and are using only the login credentials issued to you by Innovation Building Group. It is strictly prohibited to use anyone else’s account without prior written permission from Innovation Building Group. You are solely responsible for your account and any activity that occurs on it, including safeguarding your password. If you suspect that your account is being used without your consent, please notify us immediately. Transferring your account to someone else is not permitted and could result in legal consequences. Innovation Building Group is not responsible for any losses or damages that may result from unauthorized use of your account.

Proprietary Materials

The Website contains copyrighted materials, trademarks, proprietary and confidential information, and intellectual property of Innovation Building Group and licensors of Innovation Building Group (collectively, “Proprietary Materials”), including without limitation source code, video, text, software, designs, blueprints, samples, photos, graphics, images, music, and sound. You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, any Proprietary Materials. Proprietary Materials may only be accessed through the Website, and not by or from any other site or means.

Sample pre-designed architectural solutions​ (“Sample Designs”) may be downloaded for informational purposes only. Once downloaded, Sample Designs remain Proprietary Materials of Innovation Building Group. You agree not to modify, publish, transmit, participate in the transfer or sale of, create derivative works of, or in any way exploit, in whole or in part, Sample Designs. Sample Designs are not to be used  for building or seeking a permit to build. You may make a request to purchase a license for building plans or digital design files associated with the Sample Designs through our website https://innovationbuilding.com/contact-us/.

Innovation Building Group reserves all intellectual property rights to the Proprietary Materials, other than as specifically granted you under these Terms of Use. No posting, copying, transmission, retransmission, distribution, redistribution, publication, republication, decompilation, disassembling, reverse engineering, or otherwise reproducing, storing, transmitting, modifying, or commercially exploiting any Proprietary Materials in any form or by any means, for any purpose, is permitted without our express written permission.

The entire Website is protected by copyright. Complying with all applicable copyright laws is your responsibility. If you give feedback on the Website, for example recommendations for improvements or features, such feedback will be deemed non-confidential and non-proprietary, and implementation of that feedback is owned by us and may become part of the Website without compensation to you. We reserve all rights in and to the Website unless we expressly state otherwise.

Other trademarks, service marks, and logos used on the Website are the trademarks, service marks, or logos of their respective owners. Innovation Building Group is using these third-party trademarks, service marks, or logos with the permission of the trademark owner or for identification purposes only.

Geographic Restrictions

The owner of the Website is based in British Columbia, Canada. We provide this Website for use only by persons located in Canada. This Website is not intended for use in any jurisdiction where its use is not permitted. If you access the Website from outside Canada, you do so at your own risk and you are responsible for compliance with local laws of your jurisdiction.

General Terms

Non-Waiver. Failure by Innovation Building Group to enforce any provision(s) of these Terms of Use will not be construed as a waiver of any provision or right.

Severability. If any provision of these Terms is found to be unenforceable or invalid under any applicable law, such unenforceability or invalidity shall not render these Terms unenforceable or invalid as a whole, and such provisions shall be deleted without affecting the remaining provisions herein.

Governing Law & Jurisdiction. These Terms will be governed by and construed in accordance with the laws of the Province of British Columbia  and the federal laws of Canada applicable therein, and you submit to the non-exclusive jurisdiction of the courts in the Province of Ontario for the resolution of any disputes.

Compliance with Legal Requests. Without limiting the foregoing, we have the right to fully cooperate with any valid legal process from a law enforcement authority with jurisdiction that requests or directs us to disclose customer data or other information on the Website. Indemnity. You agree to indemnify and hold harmless Innovation Building Group and its affiliates, suppliers, partners, officers, agents, and employees from and against any claim, demand, losses, damages or expenses (including reasonable attorney’s fees) arising from any User Generated Content, your use of the Website, your connection to the Website, your violation of these Terms of Use or your violation of any rights of any third-party.

Equitable Relief. You acknowledge that a breach of these Terms of Use may cause us irreparable damage, for which the award of damages would not be adequate compensation. Consequently, you agree that we may institute an action to enjoin you from any and all acts in violation of those provisions, which remedy will be cumulative and not exclusive, and we may seek the entry of an injunction enjoining any breach or threatened breach of those provisions, in addition to any other relief to which we may be entitled at law or in equity.

Assignment. We are permitted to assign, transfer, and subcontract our rights and/or obligations under these Terms without any notification or consent to you. You are not permitted to assign, transfer, or subcontract any of your rights and/or obligations under these Terms.

Your use of our Website and Services and any dispute over privacy is subject to this Policy and any of our applicable Terms of Use for use of our Services, including their applicable limitations on damages and the resolution of disputes.

For greater clarity, we may collect the following Personal Information from you:

Identifiers Name, email address, phone number, billing and mailing address, date of birth, and IP address.
Financial Information Bank and credit account, and details of any transactions carried out using our Services.
Internet or Other Similar Network Activity Other information collected through Cookies and other tracking technologies as listed and described below.
Other Categories Any other information that you choose to provide to us (e.g., when you send us an email/otherwise contact us).

Administer Services:  Provide the Services to you, administer your account, and fulfill the terms of any agreement you have with us. Note that any information you submit may be used by us to evaluate you for qualification to match and to provide the Services.

Communicating with Us: When you contact us with a comment, question or complaint, you may be asked for information that identifies you (such as your name, address and a phone number) along with additional information we need to help us promptly answer your question or respond to your comment or complaint. We may also retain this information to assist you in the future and to improve our customer service, products, service offerings, events and promotions.

Providing Information to Third Parties With Whom We Work: We may obtain and/or provide your personal data from and/or to third parties with whom we use to facilitate the provision of our Services.

We are not responsible for the Privacy Policy of the third parties with whom you may interact while using our Services.

Payment Information: When required, we will collect your credit card or other payment information. We use third-party payment service providers to process payments on our behalf, and as a result we do not ourselves store your credit card number or other payment information.

Signing Up for Marketing Email and Other Communications: We may offer you the ability to sign up to receive marketing and promotional communications through the Website, on third party websites (including through social media sites), or educational events and information sessions. In these circumstances, we collect certain personal data (such as first and last name, email address or mobile phone number) which we use to send you email and other communications containing updates, tips, and other content that may be of interest to you. You can opt out of receiving promotional email from us by following the “opt-out” or “unsubscribe” instructions provided in your email or text message, or by contacting us as set out below. Please note that you may continue to receive messages from us regarding your application or other transactional and account-related electronic messages from us.

We have no responsibility for the privacy practices of third-parties, including any technology or software providers, which are used within the Services. We share your Personal Information with the following third parties for the purpose of providing the Services to you. Where a third party is identified, please see their linked privacy notices for information regarding their collection and use of personal data.

  • Cloud storage and infrastructure providers, including Dropbox and Google Drive
  • Architects and architecture firms with whom we collaborate;
  • Customer support platform and service providers;
  • Marketing partners and marketing platform providers, including social media advertising services, advertising networks, third-party data providers, and other service providers to reach or better understand our users and measure advertising effectiveness;
  • Research partners, including those performing surveys or research projects in partnership with IBG or on IBG’s behalf.
  • Service providers that provide us with artificial intelligence and machine learning tools and services.
  • Accountants, consultants, lawyers, and other professional service providers.
  • Insurance and financing partners.
  • We may share information with our corporate affiliates for the purposes described in this Policy.
  • We may use your data internally for research and development to improve our existing products and services and/or create new features to serve you better, and expand our user base. We may also use non-personal data (“Metadata”) for this same purpose. We may share your personal data with third parties involved in research and development to improve our existing products and services and/or create new features to serve you better.
  • Third-party plugins and integrationsThe Services may integrate certain third-party plugins, widgets, or integrations. Even if you do not click on these plugins, widgets, or integrations, they may collect information about you, such as your IP address and the pages that you view. They also may set and/or access a cookie or other tracking mechanism. Each plugin, widget, and integration is governed by the privacy policy of the company providing it, and not this Policy.
  • **Legal purposes.**The information we process, and store may be disclosed by us to legal authorities if we are required to do so by law. We may also disclose, at our discretion, some information we collect and store where we have reason to believe that disclosing this information is necessary to identify, contact or bring legal action against someone who may be causing interference with the rights, property, or rules of the Users, or someone who may cause or be at risk of imminent bodily harm, or someone who may be violating the Terms of Use of our Services. In such cases, the User in question will be informed.
  • **Financing, business transfers, and similar transactions.**As we develop our business, we might sell or buy businesses or assets. In the event of a sale, merger, reorganization, dissolution, or similar event relating to all or a portion of our business or assets, your information may be part of the transferred assets. In accordance with applicable law, to a buyer or other successor in the event of a merger, divestiture, restructuring, reorganization, dissolution, or other sale or transfer of some or all of IBG’s assets, whether as a going concern or as part of bankruptcy, liquidation, or similar proceeding, in which personal information held by IBG about our customers and users is among the assets transferred.
  • **De-identified or aggregated information.**We may also share de-identified and aggregated information about Services Users, such as by publishing a report on trends in the usage of the Services or sharing aggregated information about historical survey matching results.

4.2. Promotional Communications

If you have signed up for marketing emails or communications, and do not want us to use your personal data for us to market to you, and/or to pass on to third parties for marketing purposes, please contact us through the various communication channels available, as listed under the Section titled “Contact Us, Questions, Updating Your Info, Opting Out” below. You will also be able to unsubscribe from any marketing emails sent to you by IBG using a link provided in such emails. We do not sell your personal data.

  1. Where We Store Your Data

All information you provide to us is stored in the servers of our cloud service providers. We take reasonable steps to ensure our service providers adhere to the security standards we apply to your information. Where we have given you (or where you have chosen) a password which enables you to access certain parts of our site, you are responsible for keeping this password confidential. We ask you not to share a password with anyone.

Our services are predominantly located in Canada. Many of our service providers are also located outside of Canada. While we use appropriate safeguards to keep your information secure, the laws in other places may differ from those in Canada and authorities in those jurisdictions may access your information in accordance with their local laws.

  1. Safeguards

IBG takes the safeguarding of your information very seriously. We have implemented commercially reasonable administrative, technical and physical safeguards in an effort to protect against unauthorized access, use, modification and disclosure of personal data in our custody and control.

Unfortunately, the transmission of information via the internet is not completely secure. Although we will do our best to protect your personal data, we cannot guarantee the security of your data transmitted to our Services; and thus any transmission is at your own risk. Once we have received your information, we will use strict procedures and security features to try to prevent unauthorized access.

You have certain rights relating to your personal data, subject to local data protection laws. Depending on the applicable laws, these rights may include the right to:

You may access, update, delete, and/or correct inaccuracies in your personal data in our custody or control at any time, subject to limited exceptions prescribed by law. Simply log into your account, go to your account profile, and make the necessary changes.

You can also request access, corrections, updates, or deletion of your personal data in our records by contacting us as set out below. We may request certain personal data for the purposes of verifying the identity of the individual seeking access to their personal data records.

Should you wish to lodge a concern or complaint to IBG, please contact us as set out below. We will respond to your concerns in a reasonable time, typically within 10 business days.

We are not responsible for the privacy practices of our third-party service providers and recommend that you review their privacy policies carefully. We may communicate with our third-party service providers, to the extent permitted by law, when you make a request based on your personal data rights that involves the data collected by our third-party service providers.
